Partner Program Terms and Conditions

1. Acceptance

By applying for and participating in the CardsRelay Partner Program ("the Program"), you ("Partner", "you") agree to these terms. CardsRelay may update these terms at any time; continued participation after a change constitutes acceptance of the updated terms.

The Program is operated by Payzy ME FZ Ltd ("CardsRelay", "we", "us"), operator of the CardsRelay digital goods marketplace, Unit 207, Heritage Plaza II, Main Street, Charlestown, 0802, Nevis.

2. Eligibility

You must be at least 18 years old to apply. Both individuals and businesses may apply as a Partner.

You may not apply for, or participate in, the Program if you are located in, or a resident of, a jurisdiction subject to international sanctions or where digital voucher distribution is restricted. As of this writing that means: Belarus, Cuba, Iran, Syria, North Korea, and Sudan (the same list excluded under our Terms of Service, Section 9). By applying, you represent and warrant that you are not located in, a resident of, or acting on behalf of any person or entity in a sanctioned or restricted jurisdiction, and that you are not a sanctioned individual or entity under any applicable sanctions list.

You may not hold more than one Partner code without our written agreement. You may not use your own Partner code to earn commission on your own purchases.

3. How the Program Works

We issue you a unique referral code and link (cardsrelay.com/?ref=YOURCODE). When someone follows your link and makes a purchase, that purchase may be attributed to you and earn you commission, subject to the rules below.

Attribution. A referral is attributed on a first-click basis: the first valid click on your link from a given customer’s browser is what counts, for 90 days from that click. A later click by the same customer, whether on your link again or another partner’s, does not reset, extend, or move that 90-day window. If a customer’s first click was not yours, their purchase is not attributed to you even if they click your link afterward.

We are not responsible for a referral failing to attribute because a customer cleared their cookies, used a different browser or device between clicking and purchasing, or otherwise broke the link between the two.

4. Commission

You earn commission on a referred customer’s order once that order is fully completed (the gift card or mobile top-up has actually been delivered), not merely paid for. An order that is paid but never delivered earns no commission.

Gift cards. The commission rate varies by product and currently ranges from 1% to 10% of the customer’s total amount paid, being the product’s face value plus all fees. Most products pay the base rate of 1%. The rate applicable to a product is determined by us and may change at any time.

Mobile top-ups. Mobile top-ups pay a flat 2% of the total amount paid.

The rate is fixed when the customer places the order and is recorded against that order at that moment. A later change to our rates does not alter the commission on an order already placed.

Refunds. If a completed order is later refunded to the customer, any commission already credited to you for that order is reversed.

We may make manual adjustments to your recorded balance, positive or negative, to correct errors.

5. Payment

You must supply a payout currency and a corresponding wallet address. We currently support: fUSD, USDT (Solana or Ethereum), and USDC (Solana or Ethereum).

You are solely responsible for the accuracy of the payout address you supply. We are not liable for funds sent to an address you provided, including an incorrect one.

Payouts are made approximately monthly, at our discretion. We may withhold a payout, or delay it beyond this cadence, where we reasonably need to investigate a suspected error, refund, or breach of these terms.

6. Your Obligations

You agree not to:

  • Refer yourself, or route your own purchases through your own code.
  • Misrepresent CardsRelay, its products, its prices, or these Program terms to anyone.
  • Generate referrals through spam, unsolicited bulk messaging, or paid or incentivized-click schemes.
  • Bid on CardsRelay’s trademarked terms in paid search advertising.
  • Use the Program in a way that breaches any law applicable to you, including any disclosure obligations that apply to affiliate or referral marketing in your jurisdiction.

7. Term and Termination

Either party may end this arrangement at any time.

We may suspend or terminate your participation immediately, without notice, if we reasonably believe you have breached these terms, engaged in fraudulent activity, or abused the Program in any way. Commission earned prior to a termination for cause may be forfeited if the termination arises from fraud or a material breach.

8. Taxes

You are solely responsible for any taxes owed on commission you receive under this Program.

9. Relationship

You participate in the Program as an independent party. Nothing in these terms makes you an employee, agent, or legal partner of CardsRelay, and you have no authority to bind CardsRelay to anything.

10. Limitation of Liability

Our total liability to you under these terms, for any claim arising out of or relating to the Program, is limited to the total commission you have earned and not yet been paid at the time the claim arises. We are not liable for indirect, incidental, or consequential damages, including lost profits or lost business opportunities, arising from your participation in the Program.

11. Governing Law

These terms are governed by the laws of Nevis, Saint Kitts and Nevis, consistent with our Terms of Service. Any disputes shall be subject to the exclusive jurisdiction of the courts of Nevis.
